Affiliate Terms & Conditions

Welcome to the Exacoat Affiliate Program. This Affiliate Agreement ("Agreement") constitutes a binding legal contract between Exacoat Company ("Exacoat", "we", "our", or "us") and you ("Affiliate", "Partner", "Creator", or "you").

By applying to, registering for, or participating in the Exacoat Affiliate Program ("Program"), you acknowledge that you have thoroughly read, understood, and agreed to adhere to all terms, conditions, policies, and guidelines described in this Agreement.

Independent Contractor Relationship: You and Exacoat are independent contractors. Nothing in this Agreement shall be construed to create an employment, partnership, joint venture, agency, franchise, or sales representative relationship between the parties. You have no authority to accept offers, make representations, or incur liabilities on behalf of Exacoat.

For a sale to generate an affiliate commission, the referred customer must access the Exacoat storefront (https://exacoat.com) through a valid, properly formatted affiliate tracking link or utilize an active, correctly assigned creator coupon code, complete the checkout process, and remit full payment for the order.

Commission Rate & Calculation Basis: Approved affiliates earn a baseline commission of exactly 20% on the product merchandise subtotal on the referred customer’s 1st order. The subtotal is calculated after deducting any promotional coupon discounts and strictly excludes courier delivery fees, shipping insurance, import customs duties, and local taxes.

Attribution & Link Integrity: Referral tracking operates via digital tracking cookies with a 30-day attribution window. It is your sole responsibility to ensure that referral links and tracking query parameters are properly implemented across your channels. Exacoat cannot credit commissions for untracked visits caused by altered links, stripped referral parameters, or third-party ad-blocking extensions.

Reporting & Dashboard: Real-time and settled commission analytics are accessible through the Exacoat Creator Portal (https://affiliate.exacoat.com).

Strict Prohibition on Self-Referrals: You may not purchase Exacoat skins, accessories, or services for your own personal use, your business, or immediate household members through your own affiliate tracking links or assigned creator discount codes to receive commissions, cashbacks, kickbacks, or rebates.

Cashback & Incentive Bans: You are strictly prohibited from offering rebates, unauthorized cashbacks, or revenue-sharing incentives to customers as an inducement to click your referral links or apply your coupon code.

Fraud Monitoring & Enforcement: Exacoat employs automated verification protocols to analyze order metadata, IP geolocation, browser fingerprints, shipping destinations, and payment instruments. Any transaction flagged as a self-referral, simulated visit, or deceptive click injection will be permanently disqualified.

Settlement Cycle & Frequency: Exacoat settles approved affiliate earnings every 30 days, or on-demand upon written request from the affiliate, provided the accumulated balance meets or exceeds the minimum payout threshold.

Minimum Payout Threshold: The minimum accrued balance required to trigger a disbursement is Rp 250.000 (two hundred and fifty thousand Indonesian Rupiah). Balances below this threshold will carry over indefinitely until the minimum threshold is attained.

Settlement Window: Once initiated, payouts may take up to seven (7) business days to complete domestic banking verification, accounting audits, and transfer settlement.

Authorized Payment Methods: Payouts are made strictly via Indonesian domestic interbank electronic fund transfer to:

If a referred customer order is cancelled, returned, refunded under Exacoat’s Refund Policy or 30-Day Money Back Guarantee, or subjected to a credit card chargeback or payment fraud dispute, the commission generated by that transaction will be reversed.

Balance Adjustments: Reversals are automatically deducted from your current pending balance or offset against future commission payouts. If an account is terminated or has insufficient accrued funds to cover the reversed commission, Exacoat reserves the right to issue an invoice for previously disbursed commissions originating from refunded or invalid transactions.

Permitted Brand Assets: Affiliates are granted a limited, non-exclusive, non-transferable, revocable license to utilize official Exacoat banners, badges, logos, and high-resolution product photography available within the Creator Portal solely for normal promotion. You may not alter, stretch, modify, or misrepresent brand visual assets without prior written consent.

Absolute Prohibition on Search Engine Advertising (PPC / SEM): Affiliates are strictly prohibited from bidding on Exacoat trademarks, trade names, or brand keywords across search engine advertising networks (including Google Ads, Microsoft Advertising / Bing Ads, Yahoo, Baidu, and localized search engines). This ban encompasses:

Term: This Agreement takes effect immediately upon the submission and approval of your affiliate application and continues until terminated by either party.

Termination for Convenience: Either party may terminate this Agreement at any time, with or without cause, by delivering written notice of termination to the other party via email.

Immediate Termination for Cause: Exacoat reserves the absolute right to suspend or terminate your affiliate account immediately and without prior notice if you violate any provision of this Agreement, engage in illegal marketing activities, bid on prohibited keywords, or conduct fraud.

Post-Termination Obligations: Upon termination, you must immediately remove all Exacoat tracking links, logos, promotional banners, and proprietary materials from your websites, video descriptions, and social media channels.

Balance Forfeiture Rules:

No Express Warranties: The Exacoat storefront, the Creator Portal, and tracking infrastructures are provided on an "as is" and "as available" basis. Exacoat makes no representations or warranties, express or implied, regarding system uptime, uninterrupted availability, or defect-free operations.

Limitation of Liability: Under no circumstances shall Exacoat, its directors, officers, or staff be liable for indirect, incidental, special, punitive, or consequential damages (including loss of revenue, anticipated profits, or lost tracking data) arising out of or in connection with this Agreement or the failure of any tracking mechanisms, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Exacoat Company and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and court costs) resulting from or arising out of:

Exacoat reserves the right to modify any terms, conditions, commission rates, attribution rules, payment schedules, and program guidelines within this Agreement at our sole discretion at any time.

Notice of Revisions: Material amendments will be communicated by posting an updated agreement on this page, updating the "Last updated" date, or transmitting a notification to your registered affiliate email address.

Continued Participation: Your continued participation in the Program, use of tracking links, or acceptance of commission payments following the effective date of revisions constitutes your complete and irrevocable acceptance of the modified Agreement.

Governing Law: This Agreement and any dispute or controversy arising out of or related to it shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of Indonesia, without giving effect to conflict of laws principles.

Exclusive Jurisdiction: The parties irrevocably submit to the exclusive jurisdiction of the competent courts located in Indonesia for the resolution of any legal proceedings arising hereunder.

Legal Fee Recovery: In any formal litigation or arbitration to enforce or interpret rights under this Agreement, the prevailing party shall be entitled to recover reasonable legal fees, expert witness fees, and related litigation costs from the non-prevailing party.

Electronic Signature & Binding Assent: Submitting an affiliate registration application, authenticating through the Creator Portal, or clicking an acceptance checkbox constitutes your digital signature and legal assent to be bound by all terms within this Agreement.
